(“Organic Recycling”) has been appointed as a representative for Bedminster International Ltd. This gives Organic Recycling the
right to generate and develop opportunities for Bedminster utilizing their patented technologies in specific territories.

Bedminster International Ltd. (“Bedminster”) of Dublin, Ireland is a leading edge technology company focused on waste recycling technologies. Bedminster owns all the
intellectual property rights to the Bedminster process that takes the highest volume waste streams including household waste, solid waste and biosolids. The system
creates a compost from the recovered organic component, thereby diverting over 70% of waste previously destined for landfill.

Bedminster is owned by Bill McCabe, a successful Irish entrepreneur who founded and grew CBT/ Smartforce PLC into the largest interactive educational software company
in the world, having listed on the NASDAQ market place in April of 1995. Since 2000, Mr. McCabe has been active in establishing new business ventures. In addition to real estate and other ventures, Mr. McCabe acquired the Bedminster technology in mid 2003 with facilities throughout the world but mainly in the US and Australia.
